1.INTRODUCTION, GENERAL SALES CONDITIONS FOR ONLINE PURCHASES ON PLAYWOOD.IT 

The present general sales conditions are applied and regulate all sales on the www.playwood.it website. All products on sale on this website are protected by PlayWood’s trademark and owned by Space Matters Srls. These are exclusive possessions and are sold directly by Space Matters Srls, that also exclusively owns and operates www.playwood.it. Corporation stock 5.000,00€ fully paid, number REA RE-300517, Company registration No. 02641830357 whose registered address is: Via Elba 11 – 42123 Reggio Emilia RE. These present general sales conditions shall be exclusively governed by Italian jurisdiction and construed in accordance with Italian Law with particular reference to Legislative Decree September the 6th 2005, no. 206 (“Consumer code” section II Articles 50-67) and Legislative Decree April the 9th 2003, no. 70 (from now on “E-commerce Decree”). It is agreed that Italian courts shall have exclusive jurisdiction in the event of any kind of dispute.

2.PRODUCT INFORMATIONS

All the products with related codes, prices, pictures and technical descriptions are on-line and available for purchase on this website. It represents a public offer to which conditions are applied exclusively on purchases made on the PlayWood.it. Purchased product might be slightly different in color from the one shown on the website’s pictures. PlayWood reserves the right to change details to improve the product.

3.PRICES

All the prices displayed on the Homepage and in the Shop&Download section of PlayWood.it are in US Dollars $ and Euro € and VAT is included. PlayWood has the right to modify the selling price, at its discretion, at any time. These price’s variations do not affect orders which have already been placed. The applicable price of the order and shipping costs will be notified in the summary of the Order before payment. In the case of International delivery, the customer shall be responsible for all additional costs, duties or charges of any nature imposed by any governmental authority.

4.PRODUCT ORDER

The customer acknowledges, prior to placing an order, that he has read and agreed to all the information provided in these General Sales Conditions. The customer can enter the process of order placing as a “Registered user” if he has already created an account by filling in the relevant form. Subscription to PlayWood.it is free of charge and it can be done at any time. To place an order and finalize your purchase, the customer has to follow few simple steps: identify the product to buy and press the “ADD TO CART” button. The selected product is then added into CART section where it’s possible to check the contents at any time and decide whether to continue the purchase or checkout. From the CART section, by pressing the “CHECKOUT” button the customer begins the order forwarding. All the information requested on the checkout section must be filled in precisely and accurately. The customer can at any moment, before the final commitment, double check and change the details, which are visible on the summary page. PlayWood will not be responsible for missing deliveries due to wrong information given. Any additional charges due to delivery complications would thus be added to your order invoice. By pressing “PLACE ORDER” the customer commits to buy. To put into effect the final forwarding of the order to PlayWood, the corresponding payment has to be fully paid by the customer.

5.ACCEPTED METHODS OF PAYMENT

The payment due is owed from the moment of order confirmation by pressing the button “PLACE ORDER”. In case of failure to pay, PlayWood reserves the right to cancel the order. The customer commits to settle the full price of the product ordered (product plus shipping costs) through the payment methods accepted: PayPal (Credit cards or PayPal account) and direct bank transfer. All the transactions will be treated through PayPal security system, a secure payment method that allows rapid transactions without sharing your bank details with the Seller. If the customer has a PayPal account he/she can use it to purchase safely and quickly. It can be chosen also as payment method even if the customer does not have a PayPal account – when is time to pay, the customer will be forwarded to a PayPal page where credit card details can be filled-in, and decide later whether or not to create a PayPal account.

6.DISCOUNTS/VOUCHERS

PlayWood reserves the right, accordingly to its commercial initiatives, to give discounts and/or gift vouchers to its customers.

7.INVOICING

If the customer would like to receive an invoice, he/she must fill in the appropriate blanks and follow the instructions while completing the order. If the buyer purchases as a professional or in behalf of a Company, he/she can fill in the billing details directly on the form, VAT number blank is mandatory. The invoice will be sent to the e-mail address indicated within 24 hours from the payment confirmation.

8.ORDER CONFIRMATION

The customer’s order placement procedure is successfully accomplished if the website doesn’t show any Error message. PlayWood will confirm the order placement with an e-mail. This confirmation will summarize the necessary information: products chosen, total amount paid, shipping address and order number (Order No.). The customer has to verify the accuracy of the details filled in and contained on the order confirmation e-mail. In case of mistakes and/or changes, please contact immediately our customer service by email or manage your order on My Account page. The order confirmation represents a proof of purchase, so PlayWood highly recommend to save it or print it.

9.SHIPPING AND DELIVERY

Additional charge due to delivery complications will be at customer’s expense. It’s always necessary to be present at the delivery address to receive your purchase. If the delivery cannot be processed because of the customer’s absence, please contact directly the reference local courier. The delivery note dated and signed by the customer upon delivery will constitute evidence with regard to transport and delivery. Any possible damage to the package or to the products or the non-correspondence of the number of parcels have to be instantly notified through “Goods unchecked” written on the delivery note. Once the delivery note has been signed, the customer declares that THE GOODS DELIVERED ARE IN PERFECT CONDITIONS. PlayWood shall have no liability to the customer for any failure to deliver goods, any delay, any damage or defect to goods delivered that is caused by external circumstances beyond its control.

10.WARRANTY

All the products sold are warranty protected on faults within 24 months from the date of reception, accordingly to the Italian/European Law Legislative Decree 24/02. For warranty activation, the customer must present a proof of purchase acceptance (the printed copy of the order confirmation e-mail is sufficient). Such warranty only refers to products that may present compliance faults, as long as the product has been used for its specific purpose and not improperly used by the customer. The warranty is effective exclusively towards the customer “consumer” according to the same Legislative Decree, which means who purchased the asset for purposes that cannot be referred to his professional activity. PlayWood’s products are produced by Italian artisans, using high quality materials and respecting the environment. In case of detected fault, PlayWood will provide a free replacement of the product. If the fault notified is not ascribable to a compliance defect, all incurred costs at PlayWood’s expense of transport and product check will be charged to the customer. PlayWood offers as well the so called “Satisfaction Guarantee”: if you are not happy with your order contact us at customerservice@playwood.it! We are here to answer your e-mails, from Monday to Friday during regular business hours. We are normally able to find solutions, but if we really cannot fix it, we will give you your money back.

11.RIGHT OF WITHDRAWAL

Accordingly to the Italian Law Legislative Decree 206/2005 the customer can withdraw from any order within 14 working days of receipt. The right of withdrawal is exerted by sending a written communication, through registered mail (AR) to Space Matters Srls via Elba 11 – 42123 Reggio Emilia RE, along with an e-mail to customerservice@playwood.it. Withdrawal communication must report the order number. The refund of the amount paid will be done respecting the original method of payment. Shipping costs are included. The restitution of unwanted products must be done within 5 days from the date of withdrawal communication made by the customer and delivered to PlayWood within 14 working days. PlayWood will fully refund the amount paid within 14 working days upon reception of the product. To have the right to get full refund of price paid, the product must be intact and properly packed. The customer will be held responsible in case of damaged or non-complete products: PlayWood will claim refund to the customer or refund only partially the amount due. Exerting the right of withdrawal under the Italian Law, return costs are at customers’ expense. Any goods returned must be packed in their original packaging. The right of withdrawal does not apply on those products that are customized. When the communication of withdrawal made by the customer has been received, both parties of the contract are untied from reciprocal obligations, with the exception of that provided by Italian Law.

12.APPLICABLE LAW AND JURISDICTION

It is understood that this General Sales Conditions are established and governed exclusively by Italian Law.

1.SERVICE DESCRIPTION

PlayWood is a platform selling design products to a vast community of people interested in Italian craftsmanship and furnishing concepts.

2.DEFINITIONS

“Site”: the website www.playwood.it which the user can access by PC, laptop, mobile phone, PDA, and/or other devices.
“Conditions”: these Terms&Conditions to use the website.
“Services” and/or “Service”: all the services that are available on the site (e.g.service of designs download and all the other services available through the website).
“Materials”: data of any nature: audio, video, documents, images, comments, ideas, suggestions, projects, biographic material and other data.
“User”: any person who has completed the registration process and accesses the site.
“Playwood Community”: all the users registered on the website.
“My Account”: the page the user can browse once registered. Information on purchases, orders, news and personal data will be directly available in this section.

3.REGISTRATION

Access is gained to the site services and to its materials filling in the online registration form: registration will be accomplished after reading our Privacy Policy and accepting these Website Terms & Conditions. When the registration process is successful, the user receives a confirmation e-mail with a link to input a password to complete the procedure. Registration is not allowed to anyone less than 18 years of age. The user is responsible for protecting his/her password to access any personal areas of the site. Registration with the site using the so-called temporary e-mail addresses is not accepted.

4.RESPONSIBILITY FOR CONTENTS AND DISCLAIMER

A user can only upload material to the site when the registration procedure has been successfully concluded. The user undertakes to use the service exclusively for legal purposes and without damaging the rights of any third parties. Space Matters Srls is not obliged to control the material sent by the user and will not carry out any prior controls, as it is not subject to any general supervision obligations, and, therefore, will not be considered responsible for the materials, errors or omissions in them, nor for any direct or indirect damage caused to the user and/or third parties by using or failing to use the service. Moreover, should Space Matters Srls become aware that any of the published contents are in violation of third party rights or of an illegal nature, Space Matters Srls will verify the situation and if illegal action is confirmed, will immediately take steps for their removal. The user is personally responsible for the material that sent and uploaded and authorizes publication, projection and disclosure by press or internet for Space Matters Srls information or advertising purposes. (e.g. promoting special initiatives, for press, media releases, online/offline publications, without the user having the right to oppose or claim).

The user is aware that, by sending materials, he/she undertakes to grant Space Matters Srls the right – not subject to any remuneration – to use, adapt, publish, distribute, reproduce and execute the contents and generally exercise all the related rights, and is the only party responsible for these activities. On uploading any material, the user accepts and is aware that it will be visible to the Community and to all other casual unregistered surfers. The user acknowledges that it is forbidden to include, publish, distribute (or give others the opportunity to do so) material that: a) is offensive, abusive, slanderous, defamatory, pornographic, vulgar, obscene, child-pornography, blasphemous or which does not comply with the principles of public order or public decency, or which could damage minors in any way; b) disturbs public or private peace, which directly or indirectly offends or damages anyone, or which encourages others to carry out any illegal or criminal deeds that would be subject to criminal and civil responsibility; c) is in violation of civil, criminal or special laws (for example, intellectual and industrial property rights, copyrights, the Privacy Law, etc); d) contains viruses or other programs to damage or interfere with the correct functions of the service; e) contains advertising, promotional or any other soliciting material that is not requested or desired.

The user acknowledges and accepts that it is forbidden to include on his/her account page:

– sensitive data

– third party personal data (including images and photos) without prior authorization for publication and disclosure.

The user undertakes not to copy, reproduce, process, alter, change, transcribe, duplicate, communicate, distribute or otherwise disclose any materials covered by copyright without clear written authorization and clear consent by the holders of intellectual property rights. By registering and uploading the material, the user is fully responsible for everything described therein and states being the exclusive party responsible towards Space Matters Srls and third parties, of any statements made and content sent and explicitly releases Space Matters Srls and its partners from any requests or damage claims that may be made by the author or holder of the rights, or any third parties with just cause.

5.SERVICE PROVISION AND AVAILABILITY

Space Matters Srls does not guarantee full and constant service functions, nor grants or recognizes guarantees of any other nature. Space Matters Srls may suspend, interrupt and change the service without prior notice and with no right for the user to make any claims (e.g. if the system is congested or overloaded the Company has the right to proceed with the normal emergency maintenance of the service with no responsibility being claimed against it. Moreover, Space Matters Srls does not respond for delays, malfunction, suspension and interruption – for the user or any parties directly or indirectly connected with the user – in providing the service if they occur and are not intentional. The user explicitly accepts that PlayWood sends communications, including changes to the service conditions, by e-mail. The provision of the services is governed by specific regulations that are published for each service. These special conditions are additional to the Website Terms & Conditions and in case of conflict prevail over the same.

6.INTELLECTUAL PROPERTY RIGHTS

Each right, title and interest to the site, contents and service are and will remain the exclusive property of Space Matters Srls. The user acknowledges that site, service and software are exclusive property of Space Matters Srls and that they may contain confidential information and are protected by applicable legislation. Space Matters Srls grants the user a free non-exclusive and non-transferable license to access and use the site, the service and the software. The user undertakes not to alter or grant (free or charge), distribute, disclose or create work based entirely or partially on the site, service or software. The user likewise acknowledges and accepts that acquiring any material or data through the service is at the user’s exclusive risk and therefore the user is responsible for any damage to the system or data loss caused directly or indirectly by using the service.

7.LINKS TO OTHER WEBSITES

Space Matters Srls is not responsible for material created or published by third parties that the www.playwood.it site has a link to. Anyone who visits a site linked to PlayWood’s one, does it at his/her own risk.

8.CHANGES TO THE CONDITIONS

These Conditions must be accepted to enable using the service. Using the service, the user undertakes to be constantly informed and updated about any conditions change. The new conditions for using the site will be immediately effective from the moment they are published and will replace these current ones.

9.INVALID CLAUSES

Should any of the clauses in these Website Terms & Conditions become invalid or inapplicable, all the remaining clauses will remain in full force.

10.LAW AND JURISDICTION

These conditions are governed by Italian Law. Any disputes regarding the interpretation and/or enforcement of the conditions will be deferred to the Court of Reggio Emilia.

11.ACCEPTANCE OF THE CONDITIONS FOR THE WEBSITE USE

The user declares understanding and explicitly accepting these conditions to use the site, pursuant to the provisions of articles 1341(2) and 1342 of the Italian Civil Code. These conditions to properly use the website are expressly accepted by the user through the registration on www.playwood.it website. The user clearly accepts the following articles: art. 4 (Responsibility for contents and disclaimer); art. 7 (Link to other sites); art. 10 (Law and jurisdiction).

We ship worldwide.

Expedition costs for European Countries is flat rate 10,00€. Free shipping (in the European Area) for orders between 100,00€ and 300,00€. The Countries listed below are included in the European area: Austria, Belgium, Czech Republic, Germany, Denmark, Spain, Finland, France, United Kingdom, Greece, Croatia, Hungary, Republic of Ireland, Italy, Luxembourg, Monaco, Netherlands, Poland, Portugal, Romania, Sweden, Slovenia, Slovakia, Norway, Switzerland, San Marino.

2.SHIPPING COSTS

We think that the high quality of PlayWood products has to be affordable. For this reason we offer free shipping (in European Area) for orders between 100,00€ and 300,00€. For smaller orders you have to pay a teeny-weeny fee. In your cart, shipping costs are automatically updated.

The cost can vary depending on the weight and volume of your order. Write us and our customer service will take care of your order by sending you an estimation of the shipping costs. Estimated time of arrival and required documentation will be provided as well.

3.DELIVERY TO A SPECIFIED FLOOR

The product will be delivered right to your doorstep. Therefore the courier will bring the goods to your floor.

4.IF I AM NOT AT HOME WHEN THE PACKAGE IS DELIVERED

If you picked a traceable shipping option, your local delivery agent may require a signature. If you work during the day, it’s best to have your order delivered to your work address to avoid any problems. In case of personal address, the courier will deliver the goods to the one you have specified on the order confirmation. It’s important to give us a phone number as well just in case we need to call you. If you are absent the courier will leave a delivery attempt: during the other 2 attempts the product will be stored in the near-by facilities and in this case additional charges might be applied. If the pick up of your order is not done within 10 days, the goods will be returned to PlayWood that will refund the product retail-price, except for shipping costs and any other further charges at customer’s expense.

5.ORDER STATUS

You can check your order status on “My Account” page. An order confirmation will be sent to the e-mail address specified – within 24h to inform you that the order has been dispatched.

6.DELIVERY ACCEPTANCE

Before accepting the parcel we recommend you to verify IN FRONT OF THE COURIER the integrity of the package and number of parcel/parcels delivered. If the packaging is damaged, even just slightly (cracks, wrinkles, lumps or bumps, tears etc.) SIGN GOODS UNCHECKED, writing the specific damage on the courier shipping note/form (e.g. “ goods unchecked, damaged, cracked, wet, etc.… package”). If the courier doesn’t allow you to sign goods unchecked, DO NOT ACCEPT THE ITEM.

7.RETURNS POLICY

We always do our best to guarantee you a pleasant shopping experience. For this reason, if you really want to return it, you can do that. Please contact us within 14 days from the day you receive the item and give us notice by registered mail to Space Matters Srls via Elba 11 – 42123 Reggio Emilia RE, along with an e-mail to customerservice@playwood.it. 8.THE PRODUCT IS DAMAGED, WHAT SHOULD I DO?

If the package is fine but the goods are damaged, please contact us at customerservice@playwood.it within 7 days from the date of arrival. Our customer service might ask you to send some pictures of the damaged item/items and of the package. We will immediately get in touch with you in order to understand the problem and fix it as quick as we can.
